Pricing: Fees for our Services are specified in your service agreement or on our website. All prices are in New Zealand Dollars (NZD) unless otherwise stated.

Billing: Depending on your plan, you may be billed monthly, annually, or per project. Subscription fees are billed in advance and are non-refundable except as required by New Zealand law.

Payment Methods: We accept payment via credit card, debit card, bank transfer, or other methods as agreed upon. You authorize us to charge your provided payment method for all fees.

Late Payments: If payment is not received by the due date, we reserve the right to suspend access to the Services until payment is made. Late fees may apply as specified in your service agreement.

Price Changes: We may change our pricing with 30 days' notice. Price changes will not affect your current billing cycle but will apply to subsequent renewal periods.

5. Intellectual Property Rights

Our Content: All content, features, and functionality of our Services, including text, graphics, logos, software, and design, are owned by SoleAi or our licensors and are protected by New Zealand and international copyright, trademark, and other intellectual property laws.

License Grant: Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use our Services for your business purposes.

Your Content: You retain ownership of any content, data, or information you provide through our Services ("Your Content"). By using our Services, you grant us a license to use, store, and process Your Content solely to provide and improve our Services.

Restrictions: You may not copy, modify, distribute, sell, or lease any part of our Services without our express written permission. You may not reverse engineer or attempt to extract source code from our software.

Results: While we work diligently to deliver quality services, we do not guarantee specific results, ROI, or business outcomes from using our Services. Results may vary based on your business, industry, and implementation.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY NEW ZEALAND LAW, SOLEAI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING FROM:

  • Your use or inability to use our Services
  • Unauthorized access to or alteration of your content
  • Third-party conduct or content on our Services
  • Any other matter relating to our Services

Our total liability to you for all claims arising from or related to these Terms or our Services shall not exceed the amount you paid us in the 12 months preceding the claim.

Nothing in these Terms excludes or limits our liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded or limited under New Zealand law.

10. Termination

By You: You may terminate your account at any time by contacting us at [email protected]. Termination does not relieve you of any payment obligations for services already provided.

By Us: We may suspend or terminate your access to our Services immediately, without notice, if you breach these Terms or engage in conduct that we determine, in our sole discretion, is harmful to us, other users, or third parties.

Effect of Termination: Upon termination, your right to use our Services ceases immediately. We may delete your account and content, though we may retain certain data as required by law or for legitimate business purposes.

11. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of New Zealand. Any disputes arising from these Terms or our Services shall be subject to the exclusive jurisdiction of the New Zealand courts.

12. General Provisions

Waiver: Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.

Force Majeure: We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control.
